PRACTICE AREAS

Business Law
I represent business clients in all aspects of owning and operating a business, including business formations, acquisitions, asset sales, employment matters, contracts and leases.  Business clients include corporations, limited liability companies, partnerships, and sole proprietorships.

Creditor's Rights and Collections
The lifeblood of any business is cash flow.  Collecting receivables and other obligations is necessary to fund your growth.  I represent business clients who are owed money or materials from customers, vendors or other third parties.  Efforts to collect money due to your business may include the negotiation of a payment plan and/or the filing of a legal action in court.

Bankruptcy and Insolvency
At some point you will have a customer or vendor who files for bankruptcy protection under Chapter 7 (liquidation) or Chapter 11(reorganization) of the Bankruptcy Code.  Dealing with a bankrupt debtor involves a different set of rules.  Whether your business is owed money from the debtor or you receive a demand for the recovery of money by the debtor, I can help you navigate the bankruptcy process to ensure that your rights are protected.  Also, if you intend to continue to conduct business with a bankrupt customer or supplier, I can provide guidance as to the smartest way to continue with the business relationship.

If your own business is experiencing financial difficulties, I can provide counsel on a whether a bankruptcy filing is the best choice.  If a bankruptcy is appropriate, I can assist you in the reorganization or the liquidation for your business.  In the alternative, it may be more appropriate to negotiate a workout agreement outside of bankruptcy with your vendor,  bank or other financial institution.

Real Estate Law
Real estate is a major investment.  I can assist you if you are selling or purchasing a house, vacation home or business property.  From preparing and/or reviewing purchase agreements, financing documents and closing documents to attending the sale closing with you,  I will help ensure a smooth process.

Wills, Living Wills, Powers of Attorney
Everyone should have a Will.  I can work with you to determine how you would like your assets distributed at the time of your death.  A Will is also an essential tool to ensure that your  children or other dependents are cared for in your absence.

A Living Will is necessary to ensure that you can express your wishes as to continued health care treatment in the event of your incapacitation.  A Living Will can help avoid unnecessary confusion if a medical decision needs to be made on your behalf.

A Power of Attorney allows you to grant authority to someone you trust to make decisions regarding your welfare in the event you unable to do it yourself.  A Power of Attorney can involve both financial and/or health care issues.
